Creation of a mixed group [ Edit | Edit the source text ]

Tyco was founded in 1960 by Arthur J. Rosenburg.

In 1992 Dennis Kozlowski CEO of TYCO, which enforced an aggressive acquisition strategy of over 1,000 companies between 1991 and 2001. Acquisitions include companies such as ADT Security, Curad and business areas of Siemens, Raytheon and AT&T.

With the takeover of ADT Security in 1997, Tyco moved to Pembroke, Bermuda. Although this change of the corporate seat was officially presented as part of the merger (ADT was already located on the Bermudas), the change was considered a quasi -legal step to a tax paradise in public debate. The tax advantage was advertised to shareholders and investors in the publications.

Shortly before a planned share of stocks in 1999, there were rumors about the disregard for accounting. The rumors were emphatically denied by the management of TYCO, which accused the sources of course manipulation in personal interest. Some shareholders fought partly in response to this at the general meeting to change the company form to a Delaware AG, but this desire was rejected by the board.

During this time, Tyco split off his deep -sea cable referral department, which she had acquired from AT&T and led as Tyco Submarine Systems, and brought it to the stock exchange as expected.

During the 1990s, Tyco’s earnings seemed to increase continuously, which is why many investors granted him the status as a default value. In retrospect, this had to be seen as an illusion, which was caused by the balance sheet treatment of the acquisitions. Unlike companies such as Enron, MCI Worldcom and HealthSouth, against which in 2001 and 2002 fraud allegations and other accusations were raised, Tyco never got into a liquidity crisis.

Splitting into specialized corporations and further restructuring [ Edit | Edit the source text ]
